Platform Terms and Conditions

These Terms govern Platform access and use. Brokerage representation and compensation are governed by any separate written buyer representation or brokerage agreement you execute with Nestly Realty. Any agreement with an independent professional or service provider governs your relationship with that provider. Transaction-specific signed documents control the subject matter they address if inconsistent with these general Terms.

Nestly Venture LLC ("Nestly Venture") is an affiliated company that operates the NV Network vendor marketplace and administers and funds any NV Buyer Credit program. Nestly Venture is not a real estate brokerage. NV Network and Buyer Credit participation are governed by their separate, applicable disclosures and program terms. Nestly RESM professional subscription products are separate offerings governed by their own terms.

Licensed brokerage services, including buyer representation, arranging private showings, presenting offers and negotiation assistance, are provided by Nestly Realty or another properly licensed brokerage, not by Nestly Venture or independent marketplace vendors.

Before providing services where required, Nestly Realty will furnish the applicable New York agency, fair-housing and other prescribed notices and obtain a separate buyer representation agreement when required by law or applicable listing-service rules. Broker compensation is negotiable and is not set by law. Browsing listings or submitting a tour request does not, by itself, establish a buyer agency relationship or confirm a tour.

The Platform may provide property search, educational information, tour requests, messages, transaction status, document coordination, vendor contacts and other buyer tools. Availability and features may change. Information, including listings, photographs, prices, property descriptions, estimates, and status, may come from third-party listing services, public records or other sources and may be incomplete, inaccurate or outdated.

We do not warrant that a property is available or that any displayed fact is correct. Confirm important property, financing, tax, legal and transaction facts with the relevant licensed professionals and source documents. The Platform does not guarantee a tour, offer acceptance, loan approval, closing date or transaction outcome.

Certain features may organize, summarize or generate content using automated tools or artificial intelligence. Those outputs can contain mistakes and do not replace legal, lending, tax, valuation or other professional advice.

NV Network may display independent attorneys, law firms, mortgage lenders and brokers, title-related providers, insurers, inspectors, movers, contractors and other legally eligible service providers ("Participating Vendors"). Vendor engagement, services, professional advice, pricing, licensing and performance are the responsibility of the vendor and are subject to the vendor's separate terms. A listing does not constitute a guarantee or endorsement by Nestly Realty or Nestly Venture.

You may choose any service provider, including one outside NV Network. Only providers approved by Nestly Venture and who complete its onboarding and participation agreement may access the Nestly transaction workspace. An outside provider may serve you independently even if not approved for workspace access.

Vendor participation is free at launch. Nestly Venture may later introduce lawful platform participation fees or optional paid advertising and enhanced listings. Paid content will be identified where required. Platform fees are not intended as compensation for unlawful referrals or transaction outcomes. Qualifying ownership or financial affiliations will be disclosed where required by law.

If offered, any NV Buyer Credit is an incentive administered and funded by Nestly Venture, not a Nestly Realty commission rebate and not a payment funded or guaranteed by a vendor. A credit is not automatic. Eligibility, any maximum advertised amount (including "up to 1%"), transaction conditions, written confirmations and closing restrictions are governed by the separate published NV Buyer Credit Terms and any applicable written, transaction-specific confirmation.

You are free to choose your own providers. A provider's lack of workspace access may affect the completion of separately disclosed, lawful coordination steps, but these Terms do not require use of a particular named vendor. Any credit must be lawfully approved and properly disclosed in the closing and settlement records.

You must be at least 18 years old to create an account. Provide accurate information, protect your credentials and notify us promptly about suspected unauthorized access. You are responsible for activity through your account to the extent permitted by law.

We may contact you about your account, requests or transaction using contact details you provide and channels permitted by law. Promotional emails, automated marketing texts or calls, and other marketing communications requiring separate consent will be handled under the applicable consent rules; marketing consent is not a condition of using the Platform. You may opt out of marketing emails using the unsubscribe link and of applicable text messages by replying STOP.

Where legally required, electronic disclosures, records and signatures are subject to a separate Electronic Records & Communications consent process, including applicable E-SIGN disclosures. Mere use of the Platform is not, by itself, consumer consent to receive legally required written records solely in electronic form. You may request records or withdraw electronic-record consent as explained in that separate notice.

If you upload or submit documents, messages, images or other materials ("User Content"), you represent that you have the right to do so. You permit Nestly Realty and its authorized service providers to use, store and share User Content as reasonably necessary to operate the Platform, respond to your instructions and requests, provide brokerage services, administer authorized marketplace features, and comply with law, subject to the applicable Privacy Policy and permissions.

Information may be shared with Nestly Venture for authorized NV Network or Buyer Credit functions, and with a particular independent provider when you request contact or direct transaction coordination. Such providers maintain their own professional and privacy obligations. Do not upload privileged or sensitive materials to a shared workspace unless you intend them to be accessible to the authorized participants. Our Privacy Policy describes data practices in greater detail.

You may not misuse the Platform, provide false information, impersonate others, discriminate unlawfully, harass other users, interfere with security, access data without authorization, introduce harmful code, scrape or harvest content or contact information, or attempt to reverse engineer or commercially reuse Platform technology except as allowed by law.

Platform software, design, text, branding, workflows, and other content belong to Nestly Realty, Nestly Venture, their affiliates or licensors, as applicable. You receive a limited, revocable, nonexclusive right to use Platform features for lawful personal home-buying purposes. No ownership or other license is conveyed. If you provide feedback, we may use it to improve our services without an obligation to compensate you.

The Platform may link to third-party websites, data sources and independent service providers. They are not controlled by Nestly Realty merely because they are linked or displayed. Their services and policies are their own. Neither Nestly Realty nor Nestly Venture provides legal, mortgage lending, title, insurance, inspection, tax or other independent professional services through an informational vendor listing.

To the extent permitted by law, the Platform and informational content are provided "as is" and "as available," without warranties of uninterrupted operation, accuracy or fitness for a particular purpose. We do not guarantee the performance or availability of independent vendors or third parties.

To the fullest extent permitted by law, Nestly Realty, Nestly Venture, and their respective affiliates and personnel will not be liable for indirect, incidental, special, consequential, punitive or lost-profit damages caused by Platform access or use. Nothing in these Terms waives, limits or reduces duties owed by Nestly Realty under a brokerage agreement or applicable real estate law, or any right or liability that cannot lawfully be limited. Any rights under an executed brokerage or transaction-specific agreement remain governed by that agreement.

To the extent permitted by law, you agree to defend, indemnify and hold harmless Nestly Realty, Nestly Venture and their respective affiliates, officers, managers, employees and agents from third-party claims, losses, and reasonable costs (including attorneys' fees) to the extent arising from your unlawful misuse of the Platform, material breach of these Terms, infringement of third-party rights, or User Content you lacked authority to provide. This obligation does not extend to claims caused by an indemnified party's own negligence, misconduct or breach of applicable law.

We may restrict or suspend access for fraud, unlawful conduct, material breaches, security risks or other legitimate reasons affecting Platform integrity or user safety. Ending Platform access does not itself terminate a separate brokerage, vendor or transaction agreement.

We may update these Terms and Platform features. Material revisions will be reasonably noticed, and any additional affirmative consent required by law will be obtained. Continued use after notice and the effective date may constitute acceptance where legally permitted.

New York law governs these Terms. The parties will first attempt in good faith to resolve Platform-related disputes informally. If unresolved, they may be brought in a state or federal court of competent jurisdiction in New York County, New York, and each party consents to that jurisdiction to the extent permitted by law. Either party may seek appropriate injunctive relief where available.

Disputes concerning brokerage representation, compensation or services are governed by the applicable separate brokerage agreement and law, rather than these website-use provisions.

If a provision is unenforceable, the remaining provisions continue in effect. Failure to enforce a provision is not a waiver. These Terms and the Privacy Policy govern your general Platform use but do not replace separate brokerage, Buyer Credit, vendor or transaction agreements. We may assign these Terms to an affiliate or successor in connection with a legitimate business transfer, subject to applicable law.
